Senior Associate Attorney
Employee Benefits & Executive Compensation
Locations: Atlanta, GA, Denver, CO, St. Louis, MO or Charlotte, NC
Compensation: $200k+ (based on experience, location, and expertise)
A leading global law firm seeks a highly motivated and skilled mid-level associate (3-6 years of experience) to join
our Employee Benefits and Executive Compensation practice in one of our Atlanta, Charlotte, Denver, or St. Louis

Qualifications
Responsibilities:
Provide expert counsel on ERISA regulations, fiduciary duties, and relevant sections of the Internal
Revenue Code (e.g., 409A, 280G).
Draft and review executive compensation agreements, including stock option plans, deferred compensation
arrangements, and other incentive programs, ensuring compliance with applicable laws and regulations.
Conduct thorough due diligence reviews of employee benefit plans in connection with mergers and
acquisitions, and assist in the negotiation and drafting of relevant purchase agreement provisions.
Conduct comprehensive legal research and analysis of complex employee benefits and executive
compensation issues.
Utilize legal research databases and Microsoft Office Suite to efficiently manage and execute client matters.
Qualifications:
3-6 years of experience in employee benefits and executive compensation law within a reputable law firm.
Comprehensive understanding of ERISA and the Internal Revenue Code.
Demonstrated experience in M&A transactions and related due diligence.
Excellent written and oral communication skills.
Strong analytical and problem-solving abilities.
Proficiency in legal research databases and Microsoft Office Suite.
Ability to manage multiple priorities and work effectively within a team environment.
